Supplier & Vendor Code of Conduct

Macro Tech Ventures Sdn. Bhd. (formerly known as Dropee) and its subsidiaries and related companies ("Borong", "the Company")

1. Purpose and Scope

Borong operates Malaysia's leading B2B eProcurement and marketplace platform, connecting enterprise buyers, government-linked companies and financial institutions with thousands of suppliers and vendors. The trust that our buyers place in the Borong platform depends on the conduct of every business that sells, supplies or fulfils through it. This Code sets out the minimum standards of legal compliance, labour practice, ethics, environmental responsibility and product integrity that Borong requires of its supply chain.

This Code applies to all suppliers, vendors, merchants, sellers, manufacturers, distributors, logistics and fulfilment providers, agents, consultants, contractors and subcontractors that do business with Borong or transact through the Borong platform (collectively, "Suppliers"). Suppliers are responsible for communicating this Code within their own organisations and for ensuring that their directors, employees, agents and subcontractors comply with it. Where a Supplier engages subcontractors in the performance of obligations to Borong or to buyers on the platform, the Supplier remains responsible for the subcontractor's compliance.

This Code sets minimum standards only. It supplements, and does not replace, the Supplier's obligations under applicable law and under its contracts and platform terms with Borong. Where the requirements of this Code differ from applicable law or contract, the stricter requirement applies.

2. Compliance with Laws

Suppliers must conduct their business in full compliance with all laws and regulations applicable to their operations and to the products and services they supply. This includes, without limitation, laws relating to employment and labour, occupational safety and health, the environment, anti-bribery and anti-corruption, anti-money laundering, competition, consumer protection, product safety and standards, taxation and customs, data protection, intellectual property, and import and export controls. Suppliers must obtain and maintain all licences, permits, registrations and certifications required to conduct their business and to manufacture, distribute or supply their products and services, and must produce evidence of such licences and certifications to Borong upon reasonable request.

3. Labour and Human Rights

Borong is committed to upholding human rights in its operations and its supply chain, and requires its Suppliers to do the same. Suppliers must:

  1. Prohibit forced labour. Suppliers must not use forced, bonded, indentured or involuntary labour of any kind, and must not engage in or tolerate human trafficking or debt bondage. All work must be voluntary, and workers must be free to leave their employment in accordance with law. Suppliers must not retain or confiscate workers' passports or identity documents, must not require workers to pay recruitment fees or deposits, and must not impose unreasonable restrictions on workers' freedom of movement;
  2. Prohibit child labour. Suppliers must not employ any person below the minimum legal working age in the relevant jurisdiction. Suppliers must verify age and identity as part of their recruitment and onboarding practices, and must ensure that any young workers lawfully employed are not engaged in hazardous work;
  3. Not discriminate. Suppliers must provide equal opportunity and treatment in recruitment, hiring, training, promotion, remuneration and termination, without discrimination on the grounds of race, ethnicity, national origin, gender, religion, age, marital status, pregnancy, disability, union membership or other protected characteristics;
  4. Prohibit harassment and abuse. Suppliers must treat workers with dignity and respect, and must not engage in or tolerate harassment, sexual harassment, bullying, corporal punishment, or physical, verbal or psychological abuse or intimidation;
  5. Pay fair wages and respect working hours. Suppliers must pay workers at least the statutory minimum wage, together with all legally mandated benefits, overtime compensation and statutory contributions, on time and in full. Working hours, rest days, public holidays and leave entitlements must comply with applicable law, and wage deductions must not be used as a disciplinary measure except as permitted by law;
  6. Respect foreign and migrant workers. Foreign workers must be employed only in accordance with applicable immigration and labour requirements, must hold valid work permits and visas, and must be provided with written employment contracts in a language they understand. Where accommodation is provided, it must comply with applicable housing and amenity standards; and
  7. Provide grievance access. Suppliers should maintain accessible channels through which their workers can raise grievances without fear of retaliation.

4. Health and Safety

Suppliers must provide their workers with a safe and healthy working environment in compliance with applicable occupational safety and health laws, including the Occupational Safety and Health Act 1994 where applicable. This includes maintaining safe premises, machinery and systems of work; identifying and controlling workplace hazards; providing appropriate personal protective equipment and safety training where the nature of the work requires it; maintaining emergency preparedness, fire safety measures and first-aid provision; and recording and investigating workplace accidents and taking corrective action to prevent recurrence.

5. Ethics and Integrity

Suppliers must conduct their business ethically and must:

  1. Not engage in bribery or corruption in any form. Suppliers must not offer, promise, give, solicit or accept any bribe, kickback, gratification or facilitation payment, whether directly or through intermediaries, to or from any Borong director, employee or representative, any buyer, or any public official, in order to obtain or retain business or any improper advantage. Suppliers are reminded that Borong may be held liable under Section 17A of the Malaysian Anti-Corruption Commission Act 2009 for corrupt acts committed by persons associated with it, and that Borong accordingly applies a zero-tolerance position and expects Suppliers to maintain adequate anti-corruption procedures proportionate to their size and risk;
  2. Respect Borong's no-gift policy. Borong personnel are prohibited from accepting gifts of any kind or any value. Suppliers must not offer gifts, hospitality, entertainment, travel, employment, donations or anything of value to Borong directors, employees or their family members. A Supplier's offer of such benefits may itself be treated as a breach of this Code;
  3. Avoid conflicts of interest. Suppliers must disclose to Borong any relationship, financial interest or arrangement involving a Borong director or employee that could create, or appear to create, a conflict of interest in the award or performance of business;
  4. Compete fairly. Suppliers must comply with applicable competition laws and must not engage in bid-rigging, price-fixing, market-sharing, collusive tendering or any other anti-competitive conduct, including in tenders and requests for quotation conducted on or through the Borong platform;
  5. Prevent money laundering and comply with sanctions. Suppliers must not participate in money laundering or terrorism financing, must transact through legitimate and traceable banking channels, and must comply with applicable sanctions laws; and
  6. Maintain accurate records. Suppliers must keep accurate and complete books and records, and must issue truthful and accurate invoices, delivery documents, certificates and declarations. Falsification of documents is strictly prohibited.

6. Product Integrity

Suppliers listing, selling or fulfilling products through the Borong platform must ensure that all products are genuine and lawfully sourced; safe and fit for their intended purpose; accurately described, labelled and priced; and compliant with applicable Malaysian standards, certification and regulatory requirements, including halal certification where a product is represented as halal. Counterfeit, pirated, misdeclared, unsafe, expired or illegal products are strictly prohibited. Borong reserves the right to remove any listing, and to suspend or delist any Supplier, immediately and without notice where product integrity concerns arise.

7. Environment

Suppliers must comply with all applicable environmental laws and regulations, including requirements relating to waste management, emissions, effluents and the handling of hazardous substances. Suppliers are expected to manage and dispose of waste responsibly, to use energy, water and materials efficiently, to take reasonable measures to minimise pollution and the environmental impact of their operations, products and packaging, and to refrain from environmentally destructive practices such as illegal logging or illegal fishing in their sourcing.

8. Confidentiality and Data Protection

Suppliers must protect the confidentiality of all non-public information belonging to Borong or to buyers on the platform, including commercial terms, pricing, transaction data and business plans, and must use such information only for the legitimate purpose for which it was disclosed. Suppliers that receive or process personal data in connection with their dealings with Borong must comply with the Personal Data Protection Act 2010 and any other applicable data protection laws, must implement appropriate security measures, and must notify Borong promptly of any data breach affecting Borong or platform data.

9. Reporting Concerns

Suppliers, their employees and their subcontractors may report suspected violations of this Code, or any misconduct involving Borong personnel, including any solicitation of gifts or payments by any Borong employee, confidentially and anonymously through Borong's whistleblowing channel at report@borong.com or by letter to the Head of People & Culture at Borong's registered office. Borong does not tolerate retaliation against any person who reports a concern in good faith, and Suppliers must not retaliate against their own workers for reporting concerns to Borong.

10. Monitoring, Audit and Consequences

Borong may assess Supplier compliance with this Code through onboarding screening, self-declarations, questionnaires, requests for documents and certifications and, where warranted by risk, audits or site visits conducted on reasonable notice. Suppliers are expected to cooperate in good faith with such assessments and to remediate identified gaps within agreed timelines. Failure to comply with this Code, or refusal to cooperate with a reasonable assessment, may result in corrective action requirements, withholding of orders, suspension or delisting from the Borong platform, termination of contracts, and referral to the relevant authorities where required by law. Acceptance of this Code, by contract, onboarding acknowledgment or continued transaction on the platform, is a condition of doing business with Borong.
